Eligibility Requirements
To participate in this research session, you must:
- Must go to the University Branch located at 2244 Guadalupe St, Austin TX, 78705-5217, Monday-Friday from 9:00am and 5:00pm to participate in the insight studio at the above location.
- Provide a valid email address
- Be at least 18 years of age.
- Not be a current or former employee, board member, or volunteer of UFCU.
- Be a prospective member or a current or former UFCU member in good standing.
- Consent to the Confidentiality Agreement, Data Privacy & Consent to Record Agreement, and the Non-Disclosure Agreement and Participation Limits Agreement.
Terms & Conditions for Participation
Confidentiality Agreement
During this session, at the Insight Studio, you will be asked to discuss key features of a product under consideration. These questions will focus on key features of the product such as usability and possible future alterations. Our goal is to identify desired features to add into the implementation of our new processes and products. We also want to use this opportunity to facilitate a forum to provide feedback for improvements before the product goes fully live to the general public.
Accordingly, you are being asked to agree to and abide by UFCU’s Focus Group Participation and Non-Disclosure Agreement ("Confidentiality Agreement") that follows. It is important to understand that our product is in its formative phase and may not yet be fully established. The feedback you provide will be critical to the direction our product takes and will help guide the work our team does on creating a user friendly product for the general public. Contingent upon satisfaction of the conditions above, you will receive an honorarium via gift card in the amount of $10.00, which will be delivered upon completion and confirmation of your feedback session.
WHEREAS, University Federal Credit Union (“UFCU”) desires to provide, and Participant desires to receive, information relating to products, proposed products, prototypes, marketing plans, services and/or proposed services of UFCU for the purpose of focus group sessions (“Focus Group”);
WHEREAS, UFCU may disclose to Participant certain information that UFCU deems proprietary or confidential during or in connection with the Focus Group; and
WHEREAS, prior to providing such information and allowing Participant to participate in the Focus Group, UFCU requires a Non-Disclosure Agreement from Participant whereby Participant agrees not to disclose such information other than in accordance with the terms and conditions herein;
NOW, THEREFORE, to induce UFCU to disclose such proprietary or confidential information to Participant, and for other consideration the receipt and sufficiency of which is hereby acknowledged, Participant hereby agrees as follows:
1. Confidentiality of Information. (A) As used in this Agreement, “Confidential Information” shall mean any of the following:
(a) information regarding the features, specifications, or descriptions of UFCU products, services or technology, including but not limited to any such information about such products’ or services’ technology, specifications, cosmetic design, model numbers, screen sizes, specific availability, or distribution;
(b) information regarding the features, specifications, or appearance of UFCU’s future products and/or services;
(c) any information, whether tangible or intangible in written or machine readable form that it receives from UFCU during the course of participation in the Focus group, or any information disclosed orally or visually to Participant; or
(d) any information or material obtained or observed while attending a Focus Group session conducted by or for the benefit of UFCU.
B) Except as provided in this Agreement, or otherwise agreed to in a subsequent document signed by both parties, for a period of five (5) years from the date of each disclosure of Confidential Information, Participant shall not disclose to any other person, firm, or corporation, or use for its own benefit any Confidential Information it receives from UFCU. Participant will use reasonable care to avoid inadvertent disclosure or unpermitted use of the Confidential Information.
(C) The restrictions in this Agreement shall not apply to any portion of the Confidential Information that:
(a) is known to Participant at the time of its disclosure to Participant without breach of this Agreement;
(b) is or becomes publicly known through no wrongful act of Participant;
(c) is received from a third party without breach of the restrictions contained in this Agreement;
(d) is independently learned or developed by Participant without breach of the restrictions contained in this Agreement; or
(e) is approved for release by UFCU.
2. Term. The restrictions and obligations contained in this Agreement shall continue for a period of five (5) years from the date of each disclosure of Confidential Information, notwithstanding the termination of expiration of this Agreement.
3. Compensation. Participant will receive an honorarium of ten and no/100 ($10.00), to be delivered in the form of a gift card for participating in the Research Session; as evidenced by the consent below, Participant agrees that this is sufficient compensation for participation, which includes Participant’s agreement to abide by all terms set for in this Agreement.
4. Injunctive Relief. Participant agrees that, in addition to whatever remedies may be available to UFCU under applicable law, UFCU shall be entitled to obtain injunctive relief with respect to any actual or threatened violation of this Agreement by Participant. Participant agrees that it shall reimburse UFCU for all costs and expenses, including reasonable attorneys’ fees and costs, incurred by UFCU in enforcing the provisions of this Agreement.
4. Miscellaneous. (a) This Agreement shall be governed by, and interpreted in accordance with, the laws of the State of Texas, without regard to principles of conflicts of law. The sole jurisdiction and venue for actions related to the subject matter of this Agreement shall be the county or state courts sitting within Austin, Texas. Participant hereby consents to the jurisdiction of such courts for all disputes or controversies relating to or arising out of this Agreement and agrees that process may be served as permitted by the laws of the State of Texas.
(b) This Agreement constitutes the entire agreement and understanding of UFCU and Participant with respect to the subject matter of this Agreement and supersedes any other agreements between the parties, express or implied, with respect to such subject matter. Any amendment or modification of this Agreement shall be in writing and executed by duly authorized representatives of the parties.
Data Privacy & Consent to Record Agreement
1. Ownership. All Confidential Information disclosed by UFCU to Participant pursuant to this Agreement is and shall remain the property of UFCU or any licensor of any such information to UFCU. All notes, reference materials, memoranda, documentation, and records in any way incorporating or reflecting any of the Confidential Information shall belong exclusively to UFCU and the undersigned agrees to turn over all copies of such materials in the undersigned’s possession to UFCU upon request.
2. Authorization to Record. Participant hereby authorizes UFCU to photograph, videotape, and/or otherwise record Participant while participating in Focus Group (“Images”), and acknowledges that no additional compensation will be paid by UFCU or any third party to Participant or any other person on Participant’s behalf with respect to such use of resulting Images of Participant. Participant further understands that these Images or the reproductions thereof are the sole property of UFCU, and may be used by UFCU for research, training, promotional or advertising purposes, also without compensation by UFCU or any third party.
Participation Limits Agreement
By consenting to this agreement, you acknowledge that you may complete only one feedback session per study. Any additional sessions beyond the first will not be eligible for compensation. This helps ensure fairness and maintain the integrity of our research.
